These Terms and Conditions (“Terms”), together with any documents referred to herein, form a binding contract between you and CAPITOLIO INC. (“Capitolio”, “we”, “us”, “our”) and govern your access to and use of our website at https://capitolio.io (“our Site”) and our services.

Please read these Terms carefully before using our Site. By accessing or using our Site, you agree to be bound by these Terms. If you do not agree, do not use our Site.

1. Information About Us

Capitolio Inc. is a corporation incorporated under the Business Corporations Act (Alberta), Corporate Access Number 2025599024, with registered address at 700-602 12 Ave SW, Calgary, Alberta, T2R 1J3, Canada.

We are registered as a Money Services Business (MSB) with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC), registration number M24928320.

2. Eligibility and Access

Access to our Site is free of charge. To be eligible to use our Site and services, you must:

  • be at least the age of majority in your province or territory of residence (18 years in most Canadian provinces; 19 in British Columbia, New Brunswick, Newfoundland, Northwest Territories, Nova Scotia, Nunavut, and Yukon);
  • not be a resident of a jurisdiction in which our services are prohibited (see our Prohibited Jurisdictions list);
  • not be subject to sanctions under applicable Canadian, EU, UN, or US sanctions programmes; and
  • not have been previously suspended or restricted from using our services.

NOT APPLICABLE TO RESIDENTS OF QUEBEC. Access to our Site is provided “as is” and on an “as available” basis. We may alter, suspend, or discontinue our Site at any time without notice.

3. Our Services

Capitolio provides the following services:

  • virtual currency exchange (fiat-to-crypto and crypto-to-fiat);
  • virtual currency transfer; and
  • money transfers.

Services are subject to successful completion of our KYC/AML onboarding process. We reserve the right to refuse service to any person at our sole discretion, including for compliance reasons.

4. Risk Disclosure

IMPORTANT — PLEASE READ CAREFULLY. By using our services you acknowledge and accept the following risks:

  • Virtual currencies are not legal tender and are not backed by any government or central bank.
  • The value of virtual currencies is highly volatile and may change rapidly. You may lose some or all of the value of your funds.
  • You should not transact with funds you cannot afford to lose.
  • Past performance of any virtual currency is not a reliable indicator of future results.
  • Virtual currency transactions are irreversible once confirmed on a blockchain network.
  • Certain transactions may be delayed, restricted, or declined due to AML/CFT requirements or FINTRAC reporting obligations.
  • The regulatory environment for virtual currencies is evolving. Changes in law or regulation may affect the availability or legality of our services.
  • Funds transacted through Capitolio are NOT protected by the Canada Deposit Insurance Corporation (CDIC) or any equivalent deposit protection scheme.
  • Capitolio does not provide investment, financial, legal, or tax advice. Nothing on our Site constitutes such advice.

5. AML/CFT and Regulatory Compliance

We operate under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and applicable FINTRAC guidelines. By using our services, you agree to:

  • provide accurate and complete information during KYC onboarding and at any time we reasonably request;
  • not use our services for any unlawful purpose, including money laundering, terrorist financing, or sanctions evasion;
  • co-operate with our compliance team as required; and
  • promptly notify us of any material changes to your circumstances.

We reserve the right to suspend or terminate your access and to report suspicious activity to FINTRAC or other authorities as required by law.

6. Intellectual Property Rights

All content on our Site, including text, graphics, logos, and software, is owned by or licensed to Capitolio and protected by applicable intellectual property laws. You may not reproduce, distribute, or exploit any content without our prior written consent, except for personal, non-commercial use.

7. Acceptable Use

You must use our Site lawfully and in accordance with these Terms. You must not:

  • use our Site for any unlawful, fraudulent, or harmful purpose;
  • transmit malware, viruses, or other harmful code;
  • attempt to gain unauthorised access to our systems;
  • breach, override, or circumvent any security or authentication measures; or
  • engage in any conduct that damages our reputation or the interests of other users.

8. Disclaimers

NOT APPLICABLE TO RESIDENTS OF QUEBEC. To the fullest extent permitted by law:

  • our Site and services are provided “as is” without warranties of any kind;
  • nothing on our Site constitutes advice on which you should rely; and
  • we do not guarantee continuous, uninterrupted, or error-free access to our Site.

9. Limitation of Liability

NOT APPLICABLE TO RESIDENTS OF QUEBEC. To the fullest extent permitted by applicable law, we exclude all liability for:

  • loss of profits, sales, business, or revenue;
  • loss of anticipated savings;
  • loss of or damage to goodwill;
  • indirect, consequential, or incidental losses; and
  • losses arising from your use of or reliance on our Site or services.

Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Privacy and Cookies

The use of our Site and services is subject to our Privacy Policy and Cookie Policy, both available on our website and incorporated into these Terms by reference.

11. Changes to These Terms

We may update these Terms at any time. We will publish the updated version on our Site with a revised “Last updated” date. Continued use of our Site after such changes constitutes acceptance of the updated Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

FOR RESIDENTS OF ALBERTA AND ALL OTHER PROVINCES EXCEPT QUEBEC: Any disputes shall be subject to the non-exclusive jurisdiction of the courts of Alberta.

FOR RESIDENTS OF QUEBEC ONLY: These Terms and any disputes are governed by the laws of the Province of Quebec. The parties attorn to the jurisdiction of the courts of Quebec.

13. General

Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

Language: These Terms are in English. A French version is available on request. / Une version française est disponible sur demande.

Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service agreements, constitute the entire agreement between you and us.
